1. Introduction and Acceptance
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Nomology Technology Private Limited, a company incorporated under the Companies Act, 2013, operating the platform CORD (Centre for Online Resolution of Disputes) ("CORD", "we", "us", or "our").
By accessing our website at resolveoncord.com, registering a case, or using any CORD service (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use of the Services immediately.
These Terms apply to all users including parties to dispute proceedings, empanelled neutrals, institutional clients, and visitors to the CORD website.
2. Description of Services
CORD is an Online Dispute Resolution (ODR) institution that provides the following services:
• Online arbitration proceedings administered in accordance with the CORD Rules of Arbitration.
• Online mediation and conciliation proceedings administered in accordance with the CORD Mediation Rules.
• Case management, neutral appointment, and administrative support for dispute proceedings.
• SmartODR conciliation and arbitration services under SEBI's Online Dispute Resolution framework at NSE and NCDEX.
• Technology platform services including secure document exchange, virtual hearings, and digital communication.
• Training and empanelment services for neutrals.
CORD is not a law firm and does not provide legal advice. Users are encouraged to seek independent legal counsel in connection with their disputes.
3. Eligibility and Registration
To register a case or access restricted portions of our platform, you must:
• Be at least 18 years of age, or have the authority to bind a legal entity.
• Provide accurate, complete, and current information during registration.
• Maintain the accuracy of your registration information throughout your use of the Services.
• Not have been barred from using CORD services under applicable law or our Rules.
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at contact@resolveoncord.com if you suspect any unauthorised access to your account. CORD shall not be liable for any losses arising from your failure to safeguard your account.
4. Rules Governing Proceedings
All dispute resolution proceedings administered by CORD are governed by:
• Arbitration: CORD Rules of Arbitration (latest version as published on our website).
• Mediation and Conciliation: CORD Mediation Rules (latest version as published on our website).
• SmartODR Proceedings: SEBI (Online Resolution of Disputes in the Indian Securities Market) Regulations, 2023, and the SmartODR Standard Operating Procedures issued by SEBI from time to time.
By initiating or participating in proceedings on CORD, all parties agree to be bound by the applicable CORD Rules, which are incorporated by reference into these Terms. In case of conflict between these Terms and the applicable CORD Rules, the Rules shall prevail.
5. Fees and Payments
CORD charges fees for its services in accordance with the applicable fee schedule published on the website. By initiating a case, you agree to pay all applicable fees.
• Fees are non-refundable once proceedings have commenced, except as expressly provided in the applicable CORD Rules.
• Payments are due within the timelines specified in the fee notice or CORD Rules.
• Failure to pay fees may result in suspension or termination of proceedings.
• CORD reserves the right to revise its fee schedules with reasonable notice.
All fees are exclusive of applicable taxes. Goods and Services Tax (GST) or other taxes will be charged as applicable under Indian law.
6. Confidentiality
All dispute proceedings on CORD — including submissions, hearings, evidence, deliberations, and outcomes — are strictly confidential. Parties, neutrals, and CORD personnel are bound by confidentiality obligations under the applicable CORD Rules and the Arbitration and Conciliation Act, 1996.
You agree not to:
• Disclose any confidential information relating to proceedings to any third party without CORD's prior written consent or as required by law.
• Record, screenshot, or distribute any virtual hearing conducted through the CORD platform without the written consent of all parties and the neutral.
• Use confidential case information for any purpose other than the conduct of the dispute proceedings.
Breach of confidentiality may result in termination of access to CORD services and may give rise to legal liability.
7. User Obligations and Prohibited Conduct
You agree to use the CORD platform lawfully and in good faith. You must not:
• Provide false, misleading, or fraudulent information in any submission or registration.
• Upload or transmit malware, viruses, or any harmful code.
• Attempt to gain unauthorised access to the platform, other user accounts, or CORD's systems.
• Use automated tools, bots, or scrapers to extract data from the platform.
• Harass, threaten, or intimidate neutrals, CORD personnel, or opposing parties.
• Use the platform for any purpose that violates applicable law, including money laundering, fraud, or criminal activity.
• Infringe the intellectual property rights of CORD or any third party.
CORD reserves the right to suspend or terminate your access to the platform in the event of a breach of these obligations, without prejudice to any other remedies available to us.
8. Intellectual Property
All content on the CORD website and platform — including text, graphics, logos, software, CORD Rules, templates, and training materials — is the intellectual property of Nomology Technology Private Limited or its licensors and is protected under applicable copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use the platform solely for the purposes of your dispute proceedings or permitted use of our services. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any CORD content without our prior written consent.
The CORD name, logo, and brand marks are registered trademarks of Nomology Technology Private Limited. Unauthorised use is strictly prohibited.
9. Neutrals and Independence
CORD empanels and appoints neutrals (arbitrators, mediators, conciliators) who are independent of the parties. Neutrals are required to disclose any actual or potential conflict of interest prior to appointment.
CORD does not guarantee any particular outcome of proceedings. Neutral decisions — including arbitral awards — are made independently and CORD does not supervise, direct, or influence the substantive decisions of neutrals.
If you have concerns about a neutral's independence or conduct, you may raise a formal challenge in accordance with the applicable CORD Rules.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
• CORD's aggregate liability to any user for any claim arising out of or in connection with these Terms or the Services shall not exceed the fees paid by you to CORD in the six (6) months preceding the event giving rise to the claim.
• CORD shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business opportunity, or goodwill, even if advised of the possibility of such damages.
• CORD is not liable for the conduct, decisions, or awards of neutrals, or for the failure of any party to comply with an award or settlement.
• CORD does not warrant that the platform will be uninterrupted, error-free, or free from technical defects.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Nomology Technology Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:
• Your breach of these Terms.
• Your violation of any applicable law or regulation.
• Any fraudulent, false, or misleading information submitted by you.
• Any infringement of third-party intellectual property or privacy rights by you.
• Your conduct during dispute proceedings.
12. Disclaimer of Warranties
The CORD platform and Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
CORD does not warrant that:
• The platform will be available at all times or free from errors or interruptions.
• Dispute proceedings will result in any particular outcome.
• Documents or communications transmitted through the platform will be secure against all threats.
You use the Services at your own risk.
13. Termination
CORD may suspend or terminate your access to the platform at any time, with or without notice, if:
• You breach any of these Terms or the applicable CORD Rules.
• Your conduct is determined to be harmful to other users, neutrals, or CORD.
• Required by applicable law or regulatory order.
Upon termination, your right to access the platform ceases immediately. Provisions relating to confidentiality, intellectual property, indemnification, limitation of liability, and dispute resolution shall survive termination.
14. Amendments
CORD reserves the right to amend these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of the Services after the effective date of amended Terms constitutes acceptance of the changes. We recommend that you review these Terms periodically.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms — including any question regarding their existence, validity, or termination — shall be resolved by arbitration in accordance with the CORD Rules of Arbitration. The seat of arbitration shall be Bengaluru, Karnataka. The language of proceedings shall be English. The number of arbitrators shall be one.
Nothing in this clause prevents either party from seeking urgent interim relief from a competent court.
